Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California for the resolution of any disputes arising from or relating to these terms or your use of our services.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or your use of our services, the parties agree to the following resolution process:

1. Informal Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiations for a period of thirty (30) days.
2. Mediation: If informal negotiations fail, the parties agree to participate in mediation before a mutually agreed-upon mediator.
3. Litigation: If mediation does not resolve the dispute, either party may pursue legal action in accordance with the governing law provisions above.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Core Dynamics.

Severability Clause

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Core Dynamics regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

Waiver and Amendment

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. Assignment

You may not assign or transfer these Terms and Conditions or any rights granted hereunder without our prior written consent. Core Dynamics may assign or transfer these terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. For significant changes, we may also provide notice via email to registered users. Your continued use of our services after the effective date of the modified terms constitutes your acceptance of the changes.
